1. Acceptance of Terms

By accessing bitsegments.com, engaging our services, or executing a service agreement, you ("Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our website or services.

2. Description of Services

BitSegments provides done-for-you B2B lead generation infrastructure, including:

• Domain & mailbox provisioning, DNS configuration, and warmup management
• Verified decision-maker data sourcing and loading
• AI-assisted outreach sequence deployment & deliverability optimization
• Performance reporting and qualified reply handoff

We act as a service operator. Campaign results depend on market conditions, offer clarity, messaging alignment, and external factors beyond our control.

3. Client Responsibilities

Client agrees to:

• Provide accurate company information, target criteria, and compliance guidelines
• Ensure all outbound messaging complies with applicable laws (e.g., CAN-SPAM, GDPR, CASL)
• Respond promptly to qualified leads and meeting requests
• Maintain valid billing information and timely payments

4. Infrastructure & Data Ownership

All domains, mailboxes, DNS records, and verified contact lists provisioned for the Client are registered under the Client's name or designated entity. Upon service pause or cancellation, the Client retains full ownership and access. BitSegments does not claim intellectual property rights over Client-owned assets.

5. Fees & Payment

• Setup Fee: One-time charge covering third-party infrastructure costs (domains, mailboxes, DNS, warmup, initial data batch). Invoiced upfront.
• Monthly Management Fee: Covers ongoing data refresh, sequence optimization, deliverability monitoring, and reporting. Billed at the start of each active service month.

All prices are in USD. Late payments may result in service suspension after 7 days.

6. Refund & Cancellation Policy

Setup fees are non-refundable as they cover consumed third-party costs and configuration labor. Monthly management fees are non-refundable for the current billing cycle. Client may pause or cancel services with 7 days' written notice. All infrastructure and data remain the Client's property.

7. Service Limitations & No Guarantees

BitSegments does not guarantee specific deliverability rates, reply volumes, meeting bookings, or sales conversions. We guarantee:

• Transparent setup & reporting
• Continuous optimization based on performance data
• Compliance with agreed-upon targeting and messaging parameters

Service quality may be affected by third-party provider outages, domain reputation changes, or shifts in recipient platform policies.

8. Confidentiality & Data Protection

Both parties agree to keep confidential all non-public business, technical, and campaign information exchanged. BitSegments will not share, resell, or reuse Client targeting data or contact lists. Data handling complies with applicable privacy laws and industry standards.

9. Intellectual Property

BitSegments retains ownership of proprietary methodologies, templates, automation workflows, and reporting frameworks developed prior to or independent of Client engagement. Client retains ownership of custom messaging, branding, and campaign-specific data.

10. Limitation of Liability

To the maximum extent permitted by law, BitSegments LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption. Total liability shall not exceed fees paid by Client in the 3 months preceding the claim.

11. Indemnification

Client agrees to indemnify and hold harmless BitSegments LLC from claims, fines, or damages arising from Client's non-compliance with anti-spam, data protection, or industry-specific regulations, or from misuse of outreach data or messaging.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, followed by binding arbitration in Albuquerque, NM, if unresolved.

13. Modifications to Terms

BitSegments reserves the right to update these Terms at any time. Material changes will be communicated via email or website notice. Continued use constitutes acceptance.
